Residential Construction Agreement
Not legal advice. This agreement is a general-practice template, not a state-compliant contract. Have a licensed Texas construction attorney review and customize it — including any required statutory notices (e.g., Texas Property Code Chapter 27, the Residential Construction Liability Act) — before using it with a customer.
1. Scope of Work
This Agreement covers only the trade categories and line items marked as selected above as of the date signed. Contractor ("NLCC, LLC") agrees to furnish all labor, materials, and equipment necessary to complete that selected scope at the property located at 710 Windbreak Trail, Houston, TX 77079 ("the Property").
Change Orders. Any work requested that is not part of the selected scope will be documented in a signed, written change order before work begins, and may adjust the contract price and completion timeline. Verbal change requests are not binding.
Contract Price & Payment Schedule. Owner agrees to pay Contractor the total contract price for the selected scope according to the payment schedule above. A deposit is required before work is scheduled. Payments are due every Wednesday per the payment schedule above; work will stop if a payment is not received by its due date, and resumes once the account is current. Late payments not cured within 7 days of invoice are subject to a late fee.
Permits & Code Compliance. Contractor will obtain all building permits required by the City of Houston for the selected scope. Owner is responsible for any HOA or deed-restriction approvals.
Licensing & Insurance. Contractor maintains general liability insurance and, where applicable, workers' compensation coverage for its crews, and will provide certificates of insurance upon request.
Warranty. Contractor warrants its workmanship for one (1) year from substantial completion. Manufacturer warranties on materials and equipment (e.g., roofing, AC units, garage doors) are passed through separately and are not extended or guaranteed by Contractor. This warranty excludes normal wear and tear, lack of maintenance, misuse, and damage caused by Owner, third parties, or acts of God.
Notice & Right to Cure. Before pursuing a claim related to construction defects, Owner agrees to give Contractor written notice describing the alleged defect and a reasonable opportunity to inspect and cure it, consistent with the Texas Residential Construction Liability Act (Tex. Prop. Code Ch. 27).
Mechanic's Lien Rights. Owner acknowledges that Contractor, subcontractors, and material suppliers have lien rights under Texas law for unpaid amounts due for labor or materials furnished to the Property.
Delays. Contractor is not liable for delays caused by weather, material or supply shortages, permitting, or other causes beyond its reasonable control; the completion timeline will be extended accordingly.
Termination. Either party may terminate this Agreement for the other's uncured material breach after written notice and a reasonable cure period. If Owner terminates for convenience, Owner remains responsible for all work completed and materials ordered or purchased through the date of termination.
Site Access & Owner Responsibilities. Owner will provide Contractor reasonable access to the Property, keep the work area clear of vehicles and personal property, and secure pets during construction.
Subcontractors. Contractor may engage licensed subcontractors to perform portions of the work. Owner agrees to direct all communication regarding the project through Contractor and not to contact subcontractors or vendors directly.
Dispute Resolution. The parties agree to first attempt to resolve any dispute through good-faith mediation before pursuing litigation or arbitration. This Agreement is governed by the laws of the State of Texas, with venue in the county where the Property is located.
Entire Agreement. This Agreement, including the estimate, selected scope, payment schedule, and any signed change orders, constitutes the entire agreement between the parties and supersedes all prior discussions.
Acceptance
By signing below, both parties acknowledge they have read, understood, and agree to the selected scope of work, contract price, payment schedule, and terms above.
